What is Arcsa Capital all about?
It is a real estate investment firm that facilitates access to companies and individuals from Mexico and LATAM to exclusive investment opportunities in the United States, which are not available to the general public.
How do private investment fixed-income portfolios operate?
A partnership between two or more people to invest in one or more instruments. It is not fundraising, it is a company to multiply capital of each of its members.
Who regulates ARCSA Capital?
No securities regulator supervises us, and it matters that you understand why rather than take comfort from a name. Our vehicles are offered under an exemption from registration under Regulation D. An exemption means the offering does not go through SEC review; in exchange, it may only be sold to accredited investors whose status we verify with documentation. ARCSA Capital is not registered as an investment adviser or as a broker-dealer, and no federal or state authority has approved, reviewed or endorsed this offering. What can be verified: the entities are registered companies in Delaware and Florida, searchable at search.sunbiz.org, and the fund is audited annually by an external firm. Everything else — the underwriting, the governance, the service providers — you should verify yourself, and we will give you what you need to do it.
What is the date of certification by the state of Florida?
Our certificate was issued in May 2021 and must be renewed every year.
Who audits Arcsa Capital's operations?
The fund’s financial statements are audited annually by an independent external firm, and fund accounting and NAV are prepared by an independent administrator. Neither the SEC nor the IRS audits or supervises the fund: the SEC does not review exempt offerings, and the IRS administers tax law rather than supervising operations. Investors and counterparties are screened under our AML and KYC programme.
Why isn’t this offering registered with the SEC?
Because it relies on an exemption. Regulation D allows securities to be offered without registration provided they are sold only to accredited investors, whose status the issuer must take reasonable steps to verify. That is the basis on which our vehicles are offered. Being exempt is not the same as being approved: no regulator has reviewed the merits of this offering, and the reduced disclosure that comes with an exemption is precisely why eligibility is restricted.
Why invest in the United States if inflation in that country is higher than inflation in Mexico?
Because the dollar has proven to be the most solid and stable currency in the world since oil and all international transactions are made through that exchange rate.
Why does Arcsa Capital not appear in the National Banking and Securities Commission (CNBV) as authorized to raise capital from investors?
Because these interests are securities offered in the United States under a Regulation D exemption, not a public offering in Mexico. They are not registered with the CNBV and are not offered to the general public in Mexico. Whether an investor resident in Mexico may participate depends on their own circumstances and on Mexican law, and should be reviewed with their own advisers.

Are these interests securities?
Yes. An interest in a private fund, where you contribute capital and expect a return generated by the manager’s work, is a security under U.S. law. We treat it as one: that is why the offering relies on a specific registration exemption, why eligibility is restricted to accredited investors, and why we verify that status before accepting a subscription. The exemption is what makes the offering lawful without registration; it is not a finding that the interests are not securities.
Why does Mexico's SAPI exist?
Mexico's SAPI is only an administrative company but not an asset management company, for the time being.
Can you deliver a fixed annual return?
No, and we no longer describe the return that way. Private real estate equity does not produce fixed income. What we publish is a target: an underwriting objective for the strategy, gross of fund fees, based on assumptions we disclose. Distributions depend on realised sales, on their timing and on the price achieved. In an adverse cycle the return falls below target; in an adverse transaction, capital can be lost. If a private real estate manager offers you a fixed, guaranteed or predictable annual yield on equity, they are either mispricing the risk or misdescribing the product.

What is the process to start investing?
Choose the time horizon and the amount. The investor research is done. It is deposited into the fund's account and begins to generate returns.

How does Arcsa Capital help my investments?
Arcsa Capital is a firm that offers investment services, focusing mainly on the real estate market. The main objective is to help investors protect and grow their assets through solid, stable and profitable investments.
Who is eligible to invest?
Only accredited investors, as defined in Rule 501(a) of the Securities Act. Broadly: net worth above USD 1,000,000 excluding your primary residence; or income above USD 200,000 individually (USD 300,000 jointly) in each of the last two years with the same reasonably expected this year; or a qualifying entity or family office above USD 5,000,000; or a Series 7, 65 or 82 licence in good standing. We verify that status with documentation before accepting any subscription — self-certification is not sufficient under the rule, and we do not accept it.
How much is the minimum amount I can invest?
Minimum subscription amounts differ by vehicle and are set out in the offering documents. The minimum is a commercial threshold and is entirely separate from accredited investor eligibility, which is a legal requirement and applies at every ticket size.
How do I open an account with Arcsa Capital?
Download our app from Google Play Store or App Store. Register your personal data. Upload the requested documents to verify your identity. Arcsa Capital will conduct a KYC review to know that the funds are of legal origin and that the user meets the requirements of a certified investor or a transparent foreign investor. Once you have verified your identity you can start.
Why do I have to provide personal information (TAX ID / Address, ETC)?
Arcsa Capital is required to complete the identity verification procedures to know your customer (KYC). As such, we ask that you verify your personal information such as your address, date of birth and TaxID number. This information is also required to issue a W8/K1/1099 format for each investment at the end of the year.
How do I increase my investment capital?
Within the app, you have the option "Capital increase", you just have to click and upload your bank transfer voucher.
When can I get my capital back?
Not at will. Interests in the fund are illiquid, subject to the transfer restrictions in the limited partnership agreement, and there is no secondary market and none is expected to develop. Capital is committed for the term of the vehicle, and distributions are made as assets are realised according to the distribution waterfall. There is no redemption right. You should commit only capital you can leave in place for the full term and, in an adverse scenario, lose entirely.
Can I cancel my account at any time?
No. Interests are illiquid and committed for the term of the vehicle, as described in the previous answer. There is no redemption right and no cancellation without penalty. The specific term and transfer provisions are in the limited partnership agreement, which you receive once your accredited status is verified.
Can I reinvest my account's returns?
Yes, this is possible through the Arcsa Capital App, where you can access real-time and check the status of your return on investment daily, invite friends, increase your capital and review your account movements.
Do I have to pay taxes for investing in Arcsa Capital?
Yes, Arcsa Capital will give you the returns less the withholding that the authorities require us. Likewise, in the case of foreign investors is handed in Document W8 that guarantees before the U.S. government that the respective payment of taxes was already fulfilled, which will prevent them from paying double taxation.
