1. Regulatory position
ARCSA Capital Management LLC is a Florida limited liability company. Interests in the vehicles it manages are not registered under the Securities Act of 1933 or with any state securities authority, and are offered in reliance on an exemption from registration under Regulation D. No federal or state authority has approved or passed upon the merits of these securities or the adequacy of any information published here; any representation to the contrary is unlawful. An exemption is not an approval or a licence. ARCSA Capital is not registered as an investment adviser or as a broker-dealer.
2. Who may participate
Participation is limited to accredited investors as defined in Rule 501(a). Because the offering relies on Rule 506(c), accredited status must be verified through documentation or through a written confirmation from your own accountant, attorney, investment adviser or broker-dealer. Self-certification is not accepted.
3. Risk framework
Private real estate investment involves substantial risk, including the total loss of invested capital. Any return figure published by ARCSA Capital is an underwriting objective, not a guarantee, not fixed income and not a commitment to distribute. Interests are illiquid, there is no redemption right and no secondary market is expected to develop. Group entities may act in several remunerated capacities in relation to the same asset, which creates conflicts of interest. 4. Governing documents
Nothing on this Site is an offer, a solicitation or investment advice. Any offer is made only through a private placement memorandum and a limited partnership agreement delivered to verified accredited investors. Those documents control over anything published here.
